Dematerialisation of Shares for Private Companies: Rule 9B Compliance Guide

The Ministry of Corporate Affairs (MCA) amended the Companies (Prospectus and Allotment of Securities) Rules, introducing Rule 9B, which mandates that all non-small private companies must facilitate the dematerialisation of all their existing securities.

Immediate Steps for Private Limited Companies

  1. Amend Articles of Association (AOA): Ensure the AOA authorizes the company to issue shares in dematerialised format under the Depositories Act, 1996.
  2. Appoint a Registrar and Transfer Agent (RTA): Formal tripartite agreement between the issuing company, depository (NSDL/CDSL), and an authorized RTA.
  3. Obtain International Securities Identification Number (ISIN): Distinct ISIN allocation for equity and preference share classes.
  4. Mandate on Promoters & Directors: Promoters, directors, and key managerial personnel must dematerialise 100% of their shareholding before the company can issue new securities or buy back shares.
